Terms of Service & SLA

Welcome to VidyaByte. These Master Terms of Service ("Agreement") form a legally binding contract between subscribing educational institutions ("Subscriber", "School", "Customer") and Byteproc Solutions Pvt. Ltd. ("Byteproc", "Company", "we", "us") governing access to and use of VidyaByte ERP software, mobile applications, database portals, and API integrations.

1. SaaS License & Account Provisions

Subject to compliance with this Agreement and timely payment of applicable subscription fees, Byteproc grants the Subscriber a non-exclusive, non-transferable, revocable right to access and utilize VidyaByte cloud modules for institutional school administration, teacher operations, and parent/student communications.

2. Custom Branded Mobile App Publishing Agreement

For subscription plans including dedicated Android mobile applications published on Google Play Store with the Subscriber’s official school name and logo:

  • Subscriber grants Byteproc a limited license to use the school's name, logo, and brand marks strictly for app compilation, signing, and Play Store publishing.
  • Subscriber warrants that it owns all trademarks and copyright assets provided for mobile app publication.
  • Byteproc manages app maintenance, compatibility updates, and Play Store policy compliance for the active duration of the subscription.

3. Service Level Agreement (SLA) & Uptime Guarantee

Byteproc commits to maintaining a 99.9% platform availability SLA for core VidyaByte ERP services, calculated monthly. Planned cloud maintenance is performed during off-peak hours (11:00 PM to 04:00 AM IST) with at least 48 hours prior notification sent to designated school administrators.

4. Subscription Billing, Invoicing & Payments

Subscription fees are billed per student enrolment or custom institutional tier as agreed upon during onboarding. Invoices are generated electronically and payable within 15 days of invoice date. All applicable taxes (such as GST) are listed transparently on official invoices.

5. Intellectual Property Rights & Data Ownership

The Subscriber retains sole and exclusive ownership of all school data, student records, marks, and financial ledgers uploaded to VidyaByte. Byteproc owns all rights, title, and interest in VidyaByte software source code, system designs, algorithms, user interface components, and trademarks.

6. Subscription Termination & Data Migration Guarantee

Subscribers may cancel their subscription at any time by serving a 30-day written notice. Upon termination, Byteproc provides a 30-day data migration grace period during which administrators may export complete student directories, financial ledgers, and attendance logs. Following the grace period, Subscriber data is permanently purged from active servers.

7. Limitation of Liability & Governing Law

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages. This Agreement shall be governed by and construed in accordance with the laws of India, with exclusive legal jurisdiction in the courts of Bengaluru, Karnataka.
